Terms of Service

Important: This document is boilerplate and does not constitute legal advice. You should have it reviewed by a qualified lawyer before relying on it.

1. Introduction

These Terms of Service ("Terms") govern your access to and use of GuideBook.mt (the "Platform"), operated by CET Leisure Ltd ("we", "us", or "our"), a company registered in Malta.

By creating an account or using the Platform, you agree to these Terms. If you do not agree, you must not use the Platform.

2. About the Platform

GuideBook.mt is a digital marketplace that connects Professional Licensed Tour Guides ("Guides") with Licensed Travel and Tourism Agents ("Agents"). The Platform facilitates discovery, communication, and booking coordination between Guides and Agents. We are not a tour operator, travel agency, or employer of Guides.

3. Eligibility

To use the Platform you must:

  • Be at least 18 years of age
  • Register as either a Guide or an Agent (or be authorised as a Platform administrator)
  • Provide accurate registration information, including a valid professional registration number where required
  • Maintain any licences, permits, or authorisations required under Maltese law to perform your role

Guides and Agents may be subject to manual verification before full access is granted. We reserve the right to refuse, suspend, or revoke access at our discretion.

4. Account Registration and Security

You are responsible for:

  • Keeping your login credentials confidential
  • All activity that occurs under your account
  • Notifying us promptly of any unauthorised use of your account

You must provide accurate and up-to-date information in your profile. You may not impersonate another person or misrepresent your qualifications, licence status, or agency affiliation.

5. Platform Services

The Platform allows Agents to search for Guides based on criteria such as availability, tour type, language, and expertise, and to send booking requests. Guides may review, accept, decline, or manage booking requests through their dashboard.

We do not guarantee that:

  • Any booking request will be accepted
  • Any Guide or Agent will be available at a given time
  • Any particular outcome will result from use of the Platform

6. Bookings and Payments

The Platform facilitates booking requests and coordination. We do not process payments between Guides and Agents. Payment terms, methods, invoicing, and cancellation arrangements are agreed directly between the Guide and the Agent.

Each Guide is responsible for communicating their own cancellation and payment policies to Agents. We are not a party to any agreement formed between a Guide and an Agent.

7. User Conduct

You agree not to:

  • Use the Platform for any unlawful purpose
  • Post false, misleading, or defamatory content
  • Harass, abuse, or threaten other users
  • Attempt to gain unauthorised access to the Platform or other users' accounts
  • Use automated tools to scrape or extract data from the Platform without permission
  • Circumvent verification, visibility, or access controls

We may remove content or suspend accounts that violate these Terms.

8. User Content and Profiles

You retain ownership of content you submit (profile information, photos, descriptions, messages, and similar material). By submitting content, you grant us a non-exclusive, royalty-free licence to use, display, and store that content as necessary to operate the Platform.

You are solely responsible for the content you publish and must ensure you have the right to use any material you upload.

9. Intellectual Property

The Platform, including its design, branding, software, and documentation, is owned by CET Leisure Ltd or its licensors. You may not copy, modify, distribute, or reverse-engineer any part of the Platform except as permitted by law or with our written consent.

"GuideBook.mt" and related logos are our trademarks. Unauthorised use is prohibited.

10. Third-Party Services

The Platform may integrate with third-party services (for example, Google Calendar). Your use of those services is subject to the third party's own terms and privacy policies. We are not responsible for third-party services.

11. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any Guide or Agent meets any particular standard of service.

12. Limitation of Liability

To the fullest extent permitted by Maltese law, CET Leisure Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including loss of profits, data, or goodwill.

Our total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid us (if any) in the twelve (12) months preceding the claim, or EUR 100, whichever is greater.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

13. Indemnification

You agree to indemnify and hold harmless CET Leisure Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your content, your breach of these Terms, or your dealings with other users.

14. Termination

You may close your account at any time by contacting us or using account deletion features where available.

We may suspend or terminate your access immediately if you breach these Terms, if required by law, or if we discontinue the Platform. Provisions that by their nature should survive termination (including liability limitations and indemnification) will remain in effect.

15. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on the Platform and update the "Last updated" date. Material changes may be communicated by email or through a notice on the Platform. Continued use after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of Malta. Any dispute arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Malta, unless mandatory consumer protection laws require otherwise.

17. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right does not waive that right. These Terms constitute the entire agreement between you and CET Leisure Ltd regarding the Platform.
